5. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, images, photographs, audio clips, video clips, digital downloads, data compilations, software, and the overall design and layout of the Site (collectively, "Dions Content"), is the exclusive property of Dions or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Dions name, logo, and all related product and service names, design marks, and slogans are trademarks or registered trademarks of Dions in the United States. You may not use any of these marks without the prior written permission of Dions.

5.1 Limited License

Dions grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Dions Content solely for your personal, non-commercial use in connection with the Services. This license does not include:

Dions reserves the right to accept or reject any order for any reason, including but not limited to product unavailability, errors in pricing or product information, or suspected fraudulent activity. All prices displayed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable taxes, delivery fees, or other charges, which will be disclosed during the checkout process. Dions makes reasonable efforts to display accurate pricing; however, errors may occur. In the event of a pricing error, Dions reserves the right to cancel the affected order and notify you of the correction.

6.3 Payment

By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Dions to charge the full order amount, including applicable taxes and fees, to that payment method. All payments are processed through secure third-party payment processors. Dions does not store your complete credit card information on its servers.

6.4 Cancellations and Refunds

Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has begun. Refunds or order cancellations will be considered on a case-by-case basis at the sole discretion of Dions. In cases where a refund is warranted due to an error on our part or significant quality issues, we will process the refund in a timely manner to the original payment method.

Nutritional information, ingredient lists, and allergen information provided on the Site are for general informational purposes only and may not be exhaustive. Customers with food allergies or dietary restrictions should contact us directly before placing an order and should be aware that cross-contamination may occur in our food preparation areas. 8. Limitation of Liability

Notwithstanding the foregoing, if Dions is found liable to you for any damages arising out of or related to your use of the Services, Dions's total aggregate liability to you shall not exceed the greater of: (a) the total amount paid by you to Dions in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred dollars ($100.00 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, Dions's liability shall be limited to the maximum extent permitted by applicable law.

Nothing in these Terms shall limit or exclude our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Dions, its officers, directors, shareholders, employees, contractors, agents, licensors, affiliates, successors, and assigns (collectively, "Dions Parties") from and against any and all claims, actions, proceedings, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your violation of any provision of these Terms;
• Your violation of any applicable federal, state, or local law, regulation, or rule;
• Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or proprietary rights;

• Any dispute between you and another user of the Services.

Dions reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Dions in asserting any available defenses. You agree not to settle any matter subject to indemnification without the prior written consent of Dions.

10. Governing Law and Jurisdiction

These Terms of Service and any dispute arising out of or related to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the United States of America and the state laws applicable to the jurisdiction in which Dions operates, without regard to any conflict of law principles that would require the application of the laws of a different jurisdiction.

Subject to the dispute resolution provisions below, you agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

Dions's operations and Services are subject to applicable federal regulations, including rules and regulations promulgated by the Federal Trade Commission (FTC) under the FTC Act (15 U.S.C. § 45 et seq.), which prohibits unfair or deceptive acts or practices in commerce. Dions complies with all applicable federal consumer protection laws and regulations.

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) as they relate to the collection, use, and disclosure of your personal information. 11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Dions at [email protected] and provide a written description of the dispute, the relief you are seeking, and your contact information. Dions will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute cannot be resolved informally within that period, either party may proceed with the formal dispute resolution process described below.

11.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services that cannot be resolved through informal negotiation shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties.

The arbitration shall take place in the United States, in a location mutually agreed upon by the parties or, in the absence of agreement, as determined by the AAA. The arbitrator shall apply applicable United States federal and state law. The arbitrator may award any relief that a court of competent jurisdiction could award, including injunctive or declaratory relief, subject to the limitations set forth in these Terms.

11.3 Class Action Waiver

YOU AND DIONS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a class or representative proceeding.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm or to protect intellectual property rights. Additionally, claims that qualify for small claims court in your jurisdiction may be brought in such court rather than through arbitration.

12. Changes to Terms

Dions reserves the right, in its sole discretion, to modify, update, revise, or replace these Terms of Service at any time. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or by posting a prominent notice on the Site.

Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must immediately stop using the Site and the Services. It is your responsibility to review these Terms periodically for any changes.

The following provisions shall survive any termination of these Terms: Sections 5 (Intellectual Property Rights), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Governing Law), 11 (Dispute Resolution), 14 (Severability), and any other provisions that by their nature should survive termination.

14. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, the offending provision shall be severed from these Terms. A waiver of any term on one occasion shall not be construed as a waiver of any other term or of the same term on any other occasion.

By using the Site or the Services, you consent to receiving electronic communications from Dions, including but not limited to order confirmations, receipts, promotional offers, and policy updates. These electronic communications shall satisfy any legal requirement that such communications be in writing.
